EPIC to Effect the Dividend Policy for Common Shareholders
AUSTIN, TX– EPOR, (Marketwired – June 21, 2016) – EPIC Corporation (OTC PINK: EPOR) (“EPIC”) and Ronald S. Tucker announced that “EPIC has revised its Stock Exchange Offer to a 1:1 rate of exchange of common for preferred. The exchange offer is made to shareholders in street name only and it is conditioned upon EPIC’s common stock having an average VWAP price per share of $0.85 or more for 10 trading days prior to the cutoff date of August 31, 2016. EPIC will also put the Dividend Policy into effect if the exchange offer is effected on August 31, 2016.
“A shareholder accepts the change offer has an average cost per share of $0.50 could receive a quarterly cash on cash yield of 7% with an annual rate of 28%. This is based on an average VWAP price of $0.85 per share of common stock prior to the dividend declaration date and the sell of the stock received from the dividend at a price of $0.85 per share divided by $0.50.

The preferred stock has a variable conversion rate based on a discount of 65% of the average VWAP price per share 10 days before the date of the shareholders written request for conversion, e.g., if the average VWAP was $0.25, $0.50, or $0.85 per share the number of common shares received would be 10, 5.714, and 3.361, respectively. If the shareholder sells all the converted shares at $0.25, $0.50, or $0.85 per share and sells price per share is divided by the average cost pre share of $0.50, the shareholder would receive a ROI of 500%, 571%, and 571%, respectively.”
